Omnipacto

Terms

Translation for orientation. This page is a translation provided for convenience. The German version, Bedingungen, is legally binding.

This page contains two sets of terms: Part A, licence and purchase terms for the Server and Desktop editions, and Part B, terms for the Cloud edition and Omnipacto Plus. Which one applies depends on what you use. If you bought a licence before 7 November 2026, the licence and purchase terms as of September 2026 (German only) apply to you.

Part A: Licence and purchase terms

1. Provider and subject matter

The provider is Omnipacto, owner Matthias Gronewold, Pestalozzistraße 4, 30938 Burgwedel, Germany, telephone +49 5139 6986947, email info@omnipacto.de. The subject matter of the contract is a licence to use the Omnipacto software. The software is not sold but made available for use.

2. Free use

Omnipacto can be used free of charge for good with up to ten recorded contracts. This use is not limited in time and requires neither an account with me nor payment details.

3. Scope of the licence

Buying a licence lifts the limit of ten contracts. The licence is unlimited in time and covers the Server and Desktop editions. It is issued to a named person or organisation and entitles them to use the software in their own household or their own organisation.

The licence key must not be published or made available to several persons or organisations at the same time. The licence may be transferred as a whole to another person or organisation if the previous holder gives up use entirely; a short note to info@omnipacto.de is enough for me to issue the key to the new holder. The software must not be rented out or operated as a service for third parties. Reverse engineering beyond what the law allows is prohibited.

The licence key is not part of the backup (ZIP) of an installation. Keep the email with the key; if it is lost, I will send it again on request.

4. Updates

(1) I provide security and bug fixes for every licence bought for at least three years from the date of purchase. The licence remains usable indefinitely afterwards.

(2) I provide new features (feature updates) at no extra charge for as long as I continue to develop Omnipacto. There is no entitlement to particular new features.

(3) Your statutory rights for defects in digital products, including the obligation to provide necessary updates (Section 327f of the German Civil Code, BGB), remain unaffected.

(4) Should I discontinue development, I will announce it at least six months in advance at omnipacto.de/en/security.html.

(5) For licences bought before 7 November 2026 the following continues to apply: the licence is unlimited, and updates are included without any time limit (terms as of September 2026, section 3; German only).

5. Price, payment and delivery

The licence costs €39, once. The price is final; as a small business under Section 19 of the German VAT Act (UStG), no VAT is shown. Payment is handled by Stripe; the checkout shows the payment methods on offer. The contract is concluded when you press the order button at checkout. I send the licence key and a contract confirmation automatically to the email address you gave during the purchase, usually within ten minutes of payment.

6. Conclusion of contract, input errors, storage and language

(1) Technical steps: on omnipacto.de you choose the button "Buy a licence" and arrive at the Stripe checkout. There you enter your email address, name, billing address and payment method, tick the box of consent (section 7) and complete the purchase with the order button. This concludes the contract.

(2) Input errors: until you press the order button you can view and change all entries at checkout. You can cancel the process at any time by closing the checkout or going back in your browser.

(3) Storage of the contract text: you receive the contract text (these licence and purchase terms and the withdrawal policy) with the contract confirmation as a PDF attachment by email. You can also call up and save the terms on this page at any time. I store the order data as described in the privacy policy.

(4) The contract language is German. English pages are translations; the German version is legally binding.

(5) I have not submitted to any codes of conduct.

7. Right of withdrawal

Consumers have a right of withdrawal; the details are in the withdrawal policy, Part A. During the purchase you expressly agree that I begin performing the contract before the withdrawal period ends, and you confirm that you know that you lose your right of withdrawal once performance begins. Your right of withdrawal ends if I have begun performance after you agreed and confirmed your knowledge, and I have confirmed the contract to you on a durable medium (by email). You can declare your withdrawal with the button Withdraw from a contract.

8. Customer service

I answer questions and bug reports by email at info@omnipacto.de, usually within three working days. Please send security vulnerabilities to sicherheit@omnipacto.de (omnipacto.de/en/security.html).

9. No legal, tax or insurance advice

Omnipacto calculates deadlines and points to statutory rules. This information is a guide and does not replace legal advice. You are yourself responsible for meeting notice periods and for the correctness of the data you record. I do not send cancellations and do not act towards your contractual partners.

10. Warranty and liability

The statutory warranty rights apply, including those for defects in digital products (Sections 327 et seq. BGB). I am liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. In cases of simple negligence I am liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you can regularly rely) and limited to the damage typical for this type of contract and foreseeable.

The software runs on your devices. You are yourself responsible for operation, availability and the backup of your data.

11. Data processing

The software contains no telemetry. Once a day it asks for the current version number; this can be switched off (see the privacy policy). The licence check runs without any outside connection. The privacy policy also applies to the purchase.

12. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the consumer's country of residence remain unaffected towards consumers. If a provision is invalid, the rest of the contract remains valid.

Part B: Terms for the Cloud edition and Omnipacto Plus

§ 1 Provider, scope

(1) The provider is Omnipacto, owner Matthias Gronewold, Pestalozzistraße 4, 30938 Burgwedel, Germany, telephone +49 5139 6986947, email info@omnipacto.de.

(2) These terms apply to the use of the Cloud edition at cloud.omnipacto.de, free of charge and with Plus. The licence and purchase terms (Part A) apply to the self-operated Server and Desktop editions.

(3) The Cloud edition is intended exclusively for private use in your own household. Business, commercial or self-employed professional use is not permitted. For such use you run the Server edition yourself. I do not offer a data processing agreement for the Cloud edition.

§ 2 Service

(1) Omnipacto is an application for managing contracts, notice periods, dates and related documents. In the Cloud edition I run the application on servers in a data centre in Frankfurt am Main (Oracle Cloud Infrastructure).

(2) Up to five contracts can be used free of charge. With Plus this limit does not apply to any household of your account; Plus includes reminders by email and in the browser and a daily backup.

(3) Omnipacto calculates deadlines and points to statutory rules. This is a guide and not legal advice. Whether a cancellation arrives in time is decided by when it is sent; check dates, deadlines and recorded details before you rely on them.

(4) I keep the application available to the best of my ability. I schedule maintenance for quiet times where possible. Your statutory rights for defects in digital products (Sections 327 et seq. BGB) remain unaffected.

(5) Updates of the application are included for the entire period of use and are installed automatically.

§ 3 Account

(1) To use it you need an account with a valid email address. The contract for free use is concluded when you confirm your address.

(2) Keep your login details secret and, if possible, secure your account with two-factor authentication.

§ 4 Omnipacto Plus: conclusion of contract, price, payment

(1) You book Plus in the app under Settings → My account. Payment is handled by Stripe. The contract is concluded when you press the order button at checkout.

(2) Plus costs €4.99 a month (final price; as a small business under Section 19 UStG I show no VAT), payable monthly in advance from conclusion of the contract.

(3) You enter promotion codes at checkout. The respective terms of the offer apply. With a code that includes free months, you add a payment method when you redeem it. After the free months end, Plus continues at the price under paragraph 2 unless you cancel beforehand. If you cancel before the free months end, no costs arise.

(4) I will notify you of price changes by email at least six weeks in advance. They apply only if you agree. If you do not agree, Plus continues at the previous price; I may then cancel it with one month's notice to the end of a billing month.

§ 5 Term and cancellation of Plus

(1) Plus runs for one month at a time and renews automatically by a further month unless it is cancelled.

(2) You can cancel at any time effective at the end of the current billing month: in the app (Settings → My account → Manage subscription), via Cancel contracts here on omnipacto.de, or by email (text form is sufficient).

(3) I can cancel with one month's notice to the end of a billing month. The right of both sides to terminate for good cause remains unaffected.

§ 6 When Plus ends

Nothing is deleted. The oldest five contracts stay usable; the others remain locked in the list, without reminders and without deadline calculation, and are available again immediately with Plus. You can download the full export at any time.

§ 7 Deleting your account; ending free use

(1) You can delete your account yourself at any time (Settings → My account → Delete account). A running Plus subscription ends immediately; the current month is not refunded.

(2) Households of which you are the only owner are deleted with all contracts, documents and files. Data remains in the automatic backups for up to 30 days; it is not restored except to remedy a technical failure.

(3) I can end free use with two months' notice, for example if I discontinue the Cloud edition; § 9 applies accordingly.

§ 8 Right of withdrawal

Consumers have a right of withdrawal for Plus; the details are in the withdrawal policy, Part B. You can declare your withdrawal with the button Withdraw from a contract.

§ 9 Data export and changing provider

(1) You can download all the data you have recorded and all files you have uploaded as a ZIP file at any time and free of charge (Settings → This installation → Backup as ZIP). The file contains the contract data in a structured, commonly used, machine-readable format (JSON and CSV) and all documents in their original format. It can be imported into a self-operated Omnipacto installation.

(2) Exportable are: households, persons, contracts, price histories, cancellation processes, dates, tasks, meter readings, notes, settings and all uploaded documents. Excluded are only data that is needed for internal operation and is not content from you: password check values, sessions, access keys for interfaces and technical logs.

(3) If you want to switch to another provider or to your own infrastructure, a notice in text form is enough; the notice period for this is at most two months. After that I support you during a transition period of up to 30 calendar days, which you can extend once, and then keep your data available for retrieval for at least a further 30 calendar days. After that I delete all exportable data completely. The contract ends when the switch is completed or, if you only want deletion, when the notice period expires; I will inform you of this.

(4) I charge no fees for switching and export.

(5) The infrastructure is subject to the law of the Federal Republic of Germany (data centre in Frankfurt am Main, operated by Oracle; parent company in the USA).

§ 10 Content, reports

(1) You must not upload unlawful content. I do not look at your content and do not moderate it; I do not use software for content screening.

(2) Anyone can report unlawful content to info@omnipacto.de (subject "Meldung"), with a reason, the exact location, and name and email address. I confirm receipt, examine the report carefully and communicate the result; if I block content, I give the affected user my reasons.

(3) The central point of contact for authorities, the European Commission and users is info@omnipacto.de, languages German and English.

§ 11 Liability

I am liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. In cases of simple negligence I am liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you can regularly rely), limited to the damage typical for this type of contract and foreseeable. Statutory rights for defects in digital products remain unaffected.

§ 12 Data protection

How I process your data is described in the privacy policy, section "Cloud edition".

§ 13 Changes to the terms and the service

(1) I may change these terms and the Cloud edition if there is a valid reason. Valid reasons are security requirements, changes in the technical environment (for example browsers, interfaces and hosting), changes in the law and the further development of Omnipacto. No additional costs arise for you as a result.

(2) I will notify you of material changes to the terms by email at least six weeks in advance. For existing contracts they apply only with your consent.

(3) I make changes to the application that go beyond maintaining conformity only under Section 327r BGB: I inform you clearly and comprehensibly about the change. If it affects your access to the application or its usability more than negligibly, you can cancel the contract free of charge within 30 days of the information or, if it comes later, of the change.

§ 14 Customer service, dispute resolution, law

(1) I answer questions by email at info@omnipacto.de, usually within three working days.

(2) I am neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.

(3) German law applies. Mandatory consumer protection provisions of the consumer's country of residence remain unaffected towards consumers.

§ 15 Conclusion of contract, input errors, storage and language

(1) Technical steps: you book Plus in the app under Settings → My account and arrive at the Stripe checkout. There you enter the payment method and billing details, tick the box for the terms and complete the booking with the order button. This concludes the contract. Free use begins when you create your account and confirm your address.

(2) Input errors: until you press the order button you can view and change all entries at checkout. You can cancel the process at any time by closing the checkout or going back in your browser. You can correct details of your account in the app at any time.

(3) Storage of the contract text: you can call up and save these terms and the withdrawal policy on this website at any time. I store the order data as described in the privacy policy.

(4) The contract language is German. English pages are translations; the German version is legally binding.

(5) I have not submitted to any codes of conduct.
